A. Paul Zarnowiecki

Paul Zarnowiecki is a partner in Orrick's Washington, D.C., office and a member of the firm's Energy and Infrastructure Group. He focuses his practice on the representation of sponsors, lenders, utilities and other participants in corporate and project finance transactions, primarily in the energy sector. These transactions have included the development, financing and acquisition of power projects and other infrastructure assets and the preparation and negotiation of related agreements.

Some of Mr. Zarnowiecki's notable engagements include the following.

Representing a leading wind turbine manufacturer and project developer in the sale and tax equity financing of four U.S. wind projects with a total capacity of 480 MWs.
Representing a strategic participant in the formation of a joint venture to design, license and deploy next generation small modular nuclear reactor technology.
Representing the project sponsor in the development and financing of a 45 MW solar energy project in California (transaction named Project Finance 2010 Americas Solar Deal of the Year).
Representing a major U.S. utility in its acquisition of a large development stage wind energy project in California.
Representing the project sponsor in connection with the development, financing and power purchase arrangements for a 63 MW wind energy project in Oregon.
Representing U.S. utilities in power solicitations for long-term electric power supply and the resulting power purchase transactions, including serving as lead outside counsel to Delmarva Power & Light in the negotiation of the nation's first utility scale offshore wind power purchase agreement for power from Bluewater Wind's proposed offshore wind farm off the coast of Delaware.
Advising the U.S. subsidiary of a Japanese utility in the acquisition and ongoing management of a portfolio of ownership interests in U.S. power generating facilities, including a 100 percent interest in a 87 MW oil-fueled project in Guam.
Representing a lessee and its owners in the refinancing of a waste-coal-fired small power production facility.
Representing a European investment group in the acquisition of the assets of a small aircraft manufacturer.
Representing various participants in the development and financing of wind and solar power generating facilities, including development, acquisition, divestiture and related commercial agreements.

Prior to joining Orrick, Mr. Zarnowiecki worked as an associate at Taylor-DeJongh (1998-1999), a project finance advisory firm in Washington, D.C., on international power and telecommunications projects.
