Adam Freiman is a partner in the Corporate Practice Group in the firm's New York office.

Mr. Freiman represents private and public companies and investors in connection with formation, financing, strategic and exit transactions, as well as day-to-day corporate governance and business matters. He has extensive experience representing both buyers and sellers in public and private merger and acquisition transactions.

Mr. Freiman has represented both issuers and underwriters in connection with IPOs and secondary public offerings, “shelf” offerings, Rule 144A and other private placement transactions, and exchange and tender offers. These transactions have involved a variety of products, including equity securities, high yield debt, investment grade debt and convertible debt. Mr. Freiman also has significant experience in advising public company clients on SEC reporting and disclosure requirements, corporate governance issues and other corporate and securities matters.

Mr. Freiman’s clients and transactions have spanned a number of industries, including the technology, healthcare, media and telecommunications industries.
