Adam R. Salis

Adam Salis is a part of the Real Estate and Land Use Practice in the firm's Orange County office. Mr. Salis brings over 20 years of experience to his practice as a transactional real estate attorney, combining his skills as a legal practitioner with practical experience in the real estate industry obtained from his years outside of the practice of law. His work experience runs the gamut of the real estate life cycle, having served as an acquisitions manager, special assets loan officer, REO portfolio manager and managing partner of a syndicate that owned and managed a portfolio of shopping centers located in Southern California.

Mr. Salis' skills and experience enable him to advise his clients on a wide range of real estate matters, including:

Standard commercial real estate transactions, including leases, purchases and sales.
New commercial developments, including site acquisition and due diligence, subdivision and entitlements, preparation of CC&Rs and negotiation of construction financing and related documentation.
Representation of financial institutions in construction and permanent loan originations, workouts, receiverships and nonjudicial foreclosures.
Environmental risk management, including use of indemnifications and insurance as risk allocation tools.
Formation of affordable housing programs, including negotiation of affordable housing agreements and related documents.
Joint ventures and new company formation.
Partnership workouts and dissolutions.
Distressed asset transactions, including purchase and sale of individual notes and note portfolios.
Negotiation of telecommunications leases.
EB-5 Financing

Mr. Salis is also a leading practitioner in the burgeoning field of healthcare real estate and has been involved in numerous transactions involving the leasing, purchasing, selling and financing of healthcare facilities, including hospitals, skilled nursing facilities and assisted living facilities. He is also frequently consulted on structuring bridge lending facilities secured by EB-5 investor funds and has assisted several banks in setting up their own EB-5 bridge lending platforms.

Mr. Salis was recently recognized as a Southern California Super Lawyer in the field of Real Estate, an honor that recognizes individuals who have attained a high degree of peer recognition and professional achievement.

Prior to joining Manatt, Mr. Salis was a real estate partner at Buchalter, Nemer, Fields & Younger. He also previously served as a Senior Asset Manager with Archon Group, a wholly owned subsidiary of Goldman, Sachs & Company, where he managed a residential and commercial real estate portfolio of both debt and equity assets.
