Aleksey Selipanov

is a member of Orrick's Energy and Infrastructure Group. Mr. Selipanov's practice is focused on complex project finance transactions in the U.S. infrastructure sector, mostly related to transportation (light rail, highways and bridges, and seaports and airports), renewable energy (wind and solar), and oil and gas industries. Most recently, he has assisted with structuring and documenting the pioneering U.S. Public-Private Partnerships (P3s), including toll and availability deals.

During his time at Orrick, Mr. Selipanov has advised clients (including developers, private equity investors, infrastructure funds, underwriters, banks and governmental entities) in the following selected transactions:

Representation of the Port Authority of New York and New Jersey in connection with the long-term P3 lease of the Central Terminal at the La Guardia Airport.
Representation of proposers, developers or creditors in a number of transportation-related P3 concessions in the U.S.: Purple Line Rail Project, Pennsylvania Bridge Rapid Replacement, Goethals Bridge Replacement Project, Ohio River Bridges (East End Crossing), Eagle P3 Project (RTD FasTracks), Presidio Parkway, Capital Beltway HOT Lanes, SH 183 Managed Lanes, North Tarrant Express, Illiana Corridor (Illinois portion), Purple Line Project, I-4 Ultimate Project, Puerto Rico LMM Airport concession and Seagirt Terminal lease.
Representation of a major U.S. wind energy developer in a number of lease, construction loan and term financing, tax equity financing (utilizing ITCs and PTCs), energy hedging and acquisition/disposition transactions, for utility-scale wind projects in Texas, Pennsylvania, California and Nevada.
Representation of the purchaser of a seaport and terminal in Pennsylvania (negotiating the purchase agreement and acqusition financing).
Representation of investors and/or credit providers in a number of renewable energy projects, including landfill gas and solar energy projects.
Acquisition and sale of equity stakes in coal- and gas-powered energy assets and LNG liquefaction facilities.
Acquisition financing for a portfolio of fixed-base operations in U.S. airports, and post-closing restructuring of the financing facility.
Acquisition financing of a portfolio of privately owned U.S. toll bridges, tunnels and roads.
Financing of the Indiana Toll Road concession and lease transaction.
