Allison P. Miller’s practice focuses on mergers and acquisitions, public offerings and private placements of debt and equity securities and financing transactions.
Practice & Background

Ms. Miller routinely advises clients on transactional matters related to chapter 11 reorganizations, out-of-court restructurings and exchange offers, in addition to providing advice to clients on general corporate matters, U.S. securities laws and corporate governance. From September 2006 through January 2008, Ms. Miller was resident in Akin Gump’s London office.

Ms. Miller received her B.A. with distinction in international relations and Russian studies from Mount Holyoke College in 1997. Prior to attending law school, she worked in Ukraine for a private grant-making organization operating in the former Soviet Union. Ms. Miller earned her J.D. magna cum laude in 2003 from the Boston University School of Law, where she was an editor of the American Journal of Law and Medicine.
Representative Matters

Ms. Miller’s experience includes:

multiple Rule 144A/Reg S debt offerings totaling over $1.5 billion, including the first-ever exchange offer of loan participation notes by a Russian issuer with a simultaneous issuance of $400 million of new notes
representation of both issuers and underwriters in registered utility asset-backed debt offerings
participation in numerous restructurings and reorganizations, including those for Dynegy, YRC Worldwide, Ion Media, Six Flags and Majestic Star Casino
advising domestic and foreign issuers in connection with planning, structuring and executing equity and debt capital markets transactions, including IPOs, exchange offers and U.S., LSE and Oslo Bors listings, as well as periodic reporting requirements, corporate governance and U.S. and state securities law matters
numerous restructuring and sale transactions for private equity sponsors and Fortune 500 companies in a wide range of industries, including transportation, telecommunications, real estate, gaming, assisted living/skilled nursing and oil and gas industries.
