Andrew R. Finkelstein has a diverse corporate, securities, transactional and banking practice and represents clients in a variety of industries, including financial services, telecommunications, technology, alternative energy, manufacturing, wholesale distribution, real estate development, health care and Internet services.

Andrew represents both purchasers and targets in mergers, acquisitions, divestitures and leveraged buyouts. He represents issuers and investors in SEC registered public offerings of equity securities and private offerings of equity and debt securities, and routinely provides advice regarding periodic SEC reporting, compliance and corporate governance matters.

In addition, Andrew advises emerging growth companies in a variety of industries as well as venture capital funds in connection with venture capital financing transactions, and served as company counsel in two of the largest venture capital transactions in Florida during 2010 and 2011, based on data derived from MoneyTree™.

Andrew also advises financial institutions regarding bank compliance issues. In particular, he has provided supervisory and compliance counseling for institutions regulated by the Federal Reserve, OCC, FDIC and the Florida Office of Financial Regulation, and has advised financial institutions and investors on matters relating to private equity investments in financial institutions.
