Anthony P. Zolfo is a Shareholder in the firm’s Corporate & Securities Department. Prior to joining the firm, Mr. Zolfo practiced in the New York office of a large national law firm. Mr. Zolfo also has more than 28 years experience in managing director and divisional general counsel roles at PaineWebber/UBS, Cendant, GenTek, MetLife and Express Scripts.
Mr. Zolfo's practice focuses on strategic technology ventures and transactional commercial/procurement matters. He has extensive experience structuring, negotiating and drafting agreements involving complex technology transactions. This experience includes negotiating and drafting:
Application development and license agreements;
Strategic alliances;
OEM, reseller, branding and distribution agreements;
Sales representative, consulting services, manufacturing and supply agreements;
Human resources outsourcing agreements;
Help desk/call center services and telecommunications services agreements;
Web-hosting and internet-related agreements;
Equipment purchase and leasing agreements;
Consulting and nondisclosure agreements; and
Intellectual property acquisition and sale agreements.
Mr. Zolfo has also represented clients in a broad range of information technology and business process outsourcing transactions involving global vendors, offshore captives and various hybrid structures. These outsourcing deals have been competitively bid and sole-sourced, and many have involved working in cooperation with third party intermediaries. Mr. Zolfo also provides other strategic assistance on all stages of technology transactions, including gathering requirements and developing requests for proposals; conducting competitive term sheet negotiations among potential bidders; and recommending supplier and project management strategies.
