Beverly Reyes advises clients on the preparation of reports under the Exchange Act, including proxy statements and issues arising under state and federal law with respect to corporate governance. Ms. Reyes works with companies, boards of directors and board committees on the requirements of the Sarbanes-Oxley Act, Dodd-Frank Act and related SEC and stock exchange rules and regulations, and has drafted corporate governance guidelines, committee charters, codes of conduct, Regulation FD policies, insider trading policies, as well as charter and bylaw amendments. She also handles executive compensation matters, advising on shareholder approval requirements, SEC registration and disclosure.
