Brian Covotta is a partner in O’Melveny’s Silicon Valley office and a member of the Mergers & Acquisitions Practice. Brian’s practice focuses on corporate and securities laws primarily in the context of entrepreneurial, emerging growth and public technology companies. He works with companies in a variety of industries on a wide range of matters, including initial formation, venture capital financings, mergers and acquisitions, public and private securities offerings, the periodic reporting requirements of publicly held companies and general corporate counseling. His experience also includes the representation of both acquirors and targets in a variety of public public, public-private, and private-private business combination transactions, as well as issuers and underwriters in public and private securities offerings. He also represents venture capital firms in various corporate and securities transactional matters.

Brian helps his clients’ management and boards of directors shape and execute their business strategies and provides experienced counsel on legal issues ranging from day-to-day corporate and regulatory matters to corporate governance and critical strategic matters, including acquisitions and capital market strategies.
