Christopher T. Jensen is a partner in Morgan Lewis's Securities Practice. Mr. Jensen's practice focuses on public and private securities offerings, corporate governance, mergers and acquisitions, and general securities and corporate advice.
Mr. Jensen has represented numerous issuers and underwriters in initial public offerings and secondary offerings of securities under the Securities Act of 1933, including in connection with the consolidation of companies in highly fragmented industries and the concurrent initial public offerings of such companies. He also has regularly advised a variety of public companies in connection with corporate governance matters and the preparation and filing of periodic reports under the Securities Exchange Act of 1934.
In the mergers and acquisitions field, Mr. Jensen has represented buyers, buyout funds, and sellers in a variety of transactions, including stock and asset purchases and sales, mergers, reorganizations, and related transactions. Mr. Jensen also has counseled special committees of boards of directors in their analysis and negotiation of such transactions.
Mr. Jensen has been a member of the Recruiting Committee for the New York office for more than 25 years, and was Chairman of the Recruiting Committee and Hiring Partner for the New York office from 2001 until February 2011. In addition, he spent many years as a member of the firm’s Business and Finance Senior Leadership Group, Fiduciary Review Committee, and Audit Response Committee.
