Coleen McGrath advises nonprofit organizations with respect to corporate, tax and governance matters. She has particular experience advising nonprofits on issues of fiduciary responsibility, corporate governance and conflicts of interest, the use of restricted and endowment funds and compliance with charitable solicitation regulations. Ms. McGrath also advises clients on exempt organization tax matters, including obtaining and maintaining tax exemptions, reasonable compensation, private benefit and inurement, unrelated business income taxation and private foundation grantmaking and other rules. Ms. McGrath represents nonprofit organizations in corporate transactions, including mergers, transfers of assets and dissolutions, and in drafting and negotiating contracts, including grant, gift and endowment agreements
