Daniel B. Lange

Daniel B. Lange concentrates his practice in employee benefits and executive compensation matters.

Daniel counsels buyers, sellers, management and lenders in the context of corporate transactions, including restructurings, mergers and acquisitions, as well as transactions involving company stock held by employee stock ownership plans (ESOPs). He also represents companies and employees in structuring and implementing executive compensation packages, in addition to broad-based equity and incentive compensation arrangements.

Daniel helps clients to understand and comply with the various tax laws affecting executive and equity compensation, including the deferred compensation rules under Internal Revenue Code Section 409A, and the performance-based compensation requirements of Internal Revenue Code Section 162(m). He is experienced in structuring, drafting and implementing welfare benefit programs, including severance, health and disability. He is also experienced in drafting retirement plans and ensuring that they follow qualification guidelines and meet other administrative requirements. Daniel aids clients in establishing plan administration committees to reduce or avoid personal liability for plan oversight. He also provides counsel on using Internal Revenue Service and Department of Labor correction programs to minimize penalties and fees associated with qualification and administrative errors.
