Dan Horwood is counsel in the San Diego office of Wilson Sonsini Goodrich & Rosati. He primarily represents public and private corporate clients, with a particular emphasis on public securities matters. He has represented publicly traded and privately held companies in a diverse group of industries, including technology, life sciences, retail, and financial services.

Dan's experience includes representing companies in a variety of transactions, including initial public offerings, follow-on offerings, preferred stock financings, tender offers, mergers and acquisitions, and going-private transactions. He also advises companies on Securities Act and Securities Exchange Act compliance, NYSE and NASDAQ compliance, corporate governance, and Sarbanes-Oxley Act matters.

Prior to joining the firm, Dan worked in the Division of Corporation Finance of the Securities and Exchange Commission, where he was responsible for reviewing public company Securities Act and Exchange Act filings and was one of the principal drafters of Securities Offering Reform. He was also previously associate general counsel for Groupon, where he oversaw the company's post-IPO transition and was responsible for building out Groupon's Exchange Act compliance program, as well as advising on acquisitions, joint ventures, and financings.
