David A. Makarechian

David Makarechian is a partner in O’Melveny’s Transactions Department, and a member of the Mergers and Acquisitions and Capital Markets Practice Groups focused on representing technology, internet and emerging growth companies.

Practice Description

David’s clients include start-ups, private companies, angel investors, venture capital and micro-venture capital funds, private equity funds and investment banks, as well as public companies. His practice includes 1934 Act counseling of public companies and advising investors, founders and venture backed companies on corporate matters and strategic transactions. David also focuses on strategic mergers, stock and asset acquisitions, buy outs, venture capital and growth equity investments, divestures and spin-outs, joint ventures, cross border M&A and special situations. He has represented issuers and underwriters in initial public offerings, follow-on offerings and other capital markets transactions with an aggregate value of over $4 billion over the last four years.

David has represented some of the most prominent companies and investors in the technology sector, including Android in its sale to Google, Yahoo! in various international investments, Advanced Micro Devices, Cisco Systems in several acquisitions and Kleiner, Perkins, Caufield & Byers in venture capital investments. He has served as counsel to numerous start-up companies that achieved successful exits, including Arcot Systems (Accel and Onset Ventures), Danger, Inc. (Redpoint, Mobius), Fortify Software (Kleiner, Perkins) and Vontu (US Venture Partners, Benchmark). David has represented private equity investors in buyouts, division spin outs and growth equity transactions, including Garnett & Helfrich Capital in the buyout of Wyse Technologies (sold to Dell), Garnett & Helfrich Capital in the acquisition of Blade Networks from Nortel, and TA Associates in its acquisition of a stake in Finisar.
David currently focuses his practice on software and services, internet, mobile and telecom, big data and analytics, cloud computing, miniaturization and networks, semi-conductors and semi-conductor equipment, gaming, animation and new media, materials and medical devices, among others.

In-House General Counsel

In addition to counseling clients in private practice, for two years David served as the in-house general counsel of [24]7, Inc., a private company backed by Sequoia Capital. In his role as general counsel, David took the lead in negotiating software licenses, technology collaborations and other intellectual property-based transactions and joint ventures, as well as all licensing and other agreements with customers, focusing on big data and analytics and outsourced services. David oversaw the legal function for all of [24]7’s operations globally, including at development and services centers in India, the Philippines and Central America, on intellectual property protection, labor and employment matters, and dispute resolution.

International

David co-founded O’Melveny & Myers’ Singapore office in 2008 and served in leadership positions in the Singapore office for over four years. David has represented international private equity and venture capital funds, sovereign wealth funds, international investment banks and industrial conglomerates, in South and South East Asia, with a focus on Singapore, Indonesia and India. David has worked on initial public offerings, follow on offerings and other capital markets transactions in Singapore, India, Indonesia, Thailand and Malaysia. David earned recognition as one of the top international lawyers in Singapore in the areas of Corporate/M&A and International Capital Markets from Chambers & Partners, the International Financial Law Review and the Legal 500.

David’s international practice currently focuses on representing US companies in transactions involving India, Indonesia and South East Asia and Asian companies and sovereign wealth funds on investments into the US.
