David M. Matuszewski

David Matuszewski is a partner in Holland & Knight's Northern Virginia office. He has a broad range of experience in the areas of finance and business law. Mr. Matuszewski’s most significant experience has been in the areas of mergers and acquisitions and asset-based finance.

Mr. Matuszewski represents both buyers and sellers in numerous M&A transactions. Mr. Matuszewski's greatest experience involves acquisition transactions with government contractors. He has also played integral roles in transactions in the power, real estate, hospitality, building, food service, retail and communications industries. He has been heavily involved in structuring the form of the acquisition to take advantage of opportunities available to the client. He has experience with acquisitions involving ESOPs, private equity and the Section 338(h)(10) election.

In the finance area, Mr. Matuszewski represents both borrowers and lenders in a comprehensive range of lending transactions, including asset-based lending, acquisition financing (including management buyouts), mezzanine financing, DIP financing, government contractor lending, ship financing and aircraft financing. He has significant experience with inter-creditor and subordination agreements. Mr. Matuszewski has been significantly involved with financing related to the new markets tax credit and other tax credit structures, and served as U.S. counsel in numerous international lending transactions. He has lectured on secured transactions and the Uniform Commercial Code.

Mr. Matuszewski has significant experience in the bankruptcy and creditors' rights areas. This experience has proved very valuable in his transactions practice. Prior to entering private practice in Washington, Mr. Matuszewski clerked for Chief Judge Martin V.B. Bostetter of the United States Bankruptcy Court for the Eastern District of Virginia.

Mr. Matuszewski has passed the Uniform CPA Examination.
