David’s practice is focused on the representation of public and private companies in corporate and securities law matters. He has substantial experience advising companies involved in M&A transactions. His securities law practice encompasses the public and private sale of securities, tender offers and general securities law compliance. David also advises public companies and their boards and board committees on matters involving corporate governance and takeover defense. He has, for example, assisted many companies in recent years with the adoption of shareholder rights plans or the placement of such plans “on the shelf.”
