David W. Adams

David Adams represents national, regional, and community banks in a host of regulatory and financial matters. He has extensive experience in the areas of the regulation of financial institutions; acquisition and sale of financial institutions and other entities; preparation of proxy materials and other disclosure documents; and drafting and negotiating of service agreements and other business contracts. He provides regulatory and compliance advice for financial institutions, negotiates enforcement actions with federal and state bank regulatory authorities for community bank clients, and assists them with enforcement action compliance.

In addition, Mr. Adams has closed hundreds of commercial credit facilities ranging from SBA 7(a) loans to the then-largest real estate transaction in U.S. history. These credits include the documentation of syndicated credit facilities, agent-administered loans, asset-based loans, real estate financing, and the extension of credit to businesses. He also actively represents real estate investment trusts, including those active in the health care and self-storage industries.

He has created mortgage companies and various mortgage subsidiaries of community bank clients, and handled acquisitions and sales of bank branches and other business units. Mr. Adams has handled the purchase of failed bank assets from the FDIC in an assisted transaction, as well as the sale of the securities of numerous community bank clients to the United States Department of the Treasury pursuant to the Troubled Asset Relief Program (TARP) and pursuant to the Small Business Lending Fund (SBLF).

Mr. Adams regularly represents clients before the Federal Deposit Insurance Corporation (FDIC), Board of Governors of the Federal Reserve System (FRB), Office of the Comptroller of the Currency (OCC), Consumer Financial Protection Bureau (CFPB), and state banking agencies.
