Dean M. Colucci

Dean M. Colucci practices in the area of corporate law with a focus on capital markets, M&A, structured transactions and infrastructure development and finance. Mr. Colucci formerly was president and head of investment banking at MLV & Co in New York. During his five-year tenure at MLV, the bank’s annual revenue grew from just under $5 million to approximately $30 million.

In his experience as both a lawyer and an investment banker, Mr. Colucci has been involved in more than 250 capital markets transactions with an aggregate notional market value of more than $15 billion for companies in such diverse sectors as energy, REITs and real estate, life sciences, financial services, transportation, technology, MLPs, and oil and gas. He was at the forefront of developing several ATM offering products for equity, debt, preferred and convertible securities. He has applied this technology to a variety of dual-listed issuers in Australia, Canada, Europe and Israel. In addition, Mr. Colucci has structured a variety of equity, debt and hybrid security products that have enabled issuers to raise capital more efficiently.

In M&A, Mr. Colucci has advised both public and private companies, financial sponsors and family offices in connection with all types of business combinations, control and non-control investments as well as joint ventures. He has also counseled financial advisors in connection with fairness opinions given in these types of transactions.

Mr. Colucci has extensive experience with various types of asset-based lending facilities, warehouse facilities and ABS structures, as well as the acquisition and financing of receivables-based portfolios. In this area, he has closed on more than $4 billion in financing transactions on behalf of both lender and borrower clients. Mr. Colucci has also represented companies in the development, financing, acquisition and sale of several billion dollars of infrastructure assets across the real estate, energy, renewable energy, telecommunications, water, manufacturing, transportation, entertainment, hospitality and tourism industries.

Mr. Colucci is a 1993 graduate of the George Mason University School of Law. He earned a Master of International Affairs degree from Columbia University in 1988 and is a 1983 graduate of Cornell University.
