Deborah K. Brown has a broad litigation practice, representing clients in connection with complex business disputes in both federal and state courts, with particular emphasis on business acquisition disputes, including post-closing purchase price disputes, working capital adjustments, business performance and earn-out disputes, breach of fiduciary duty, breach of warranty, breach of contract, material adverse change disputes, misrepresentation, and fraud. In addition, Ms. Brown has represented clients in connection with disputes involving accountants liability, stock option backdating, SEC and DOJ inquiries and investigations, trademarks, copyrights, and various other contract and tort claims involving accounting and tax-related issues. She has extensive experience in addressing various damages issues related to all such disputes.
Ms. Brown is a former Certified Public Accountant, who practiced in the accounting field for seven years prior to beginning her practice as an attorney. As an accountant, she gained extensive experience in the areas of both audit and tax. As a trial attorney, Ms. Brown has a record of successfully litigating, resolving, and taking to trial a broad array of business disputes for plaintiffs and defendants in state and federal courts, as well as in various forms of alternative dispute resolution. Ms. Brown is an expert at litigating complex contract disputes, including those related to merger and acquisition agreements, licensing agreements, and distribution agreements.
Ms. Brown has represented such diverse companies as Barnes & Noble, American Express Company, The Home Depot, Platinum Equity, Meda Pharmaceuticals, Caruso Management Company, Georgia-Pacific, Nuance Communications, Madison Square Garden Company, Academy of Television Arts & Sciences, and Miramax Film Corp.
