Douglas McDonald focuses on real estate and commercial finance, including workouts and dispositions of defaulted CMBS loans; real estate transactions, including site acquisition and development, and retail and office leasing; and business counseling, including acquisitions and dispositions.
Mr. McDonald has represented clients participating in virtually every aspect of complex real estate and other business transactions. He effectively applies his broad experience, proactive strategies and negotiating skills to achieve creative solutions.
Representative Clients
Mr. McDonald has represented:
an international hospitality company in site acquisitions, management and other agreements with owners; equity investments, and financings;
a national corporation in its REO disposition and special asset management programs, which he also helped design;
CMBS Special Servicers, concerning sales of defaulted mortgage loans, complex consent matters and loan assumptions and modifications; and
commercial finance clients specializing in secured financings to government contractors and other technology companies.
Significant Matters
Mr. McDonald has represented:
an international hospitality client in the acquisition of development sites for a new full-service product, which included coordinating entitlements required to develop the sites and assigning purchase agreements to the ultimate hotel owners;
a public company in a sale lease-back transaction of its corporate headquarters;
an owner selling 400,000-square-foot corporate headquarters building, with sales phases progressing from the negotiation of a data center lease to a full building lease to complex easements and declarations;
an international hospitality client in transactions to restructure its debt and equity interests in two luxury hotels and ultimately to sell those interests;
a national financial company in its REO disposition program, including a series of deed in lieu transactions; and
a lead bank in secured credit facilities, financing a leveraged buy-out of a government contractor.
Activities
Mr. McDonald is a graduate of the 2005 inaugural class of LEAD VIRGINIA and the Leadership Fairfax program and currently serves as general counsel for both.
He has previously served as a director of Volunteer Fairfax, Inc. (formerly the Volunteer Center of Fairfax), Communities in Schools of Northern Virginia and Celebrate Fairfax, Inc. (formerly Fairfax Corporation). He has held multiple offices with each group.
