Ed Kennedy's practice involves all aspects of federal and international taxation, including mergers and acquisitions, debt instruments and derivatives, foreign currency, Subpart F planning including contract manufacturing, cross-border structured finance, and distressed M&A. Ed works with strategic investors, private equity groups, and hedge funds to structure their investments in the most tax-efficient manner. He also works with large U.S.-based multinational corporations and foreign entities making inbound investments in the U.S., including investments in stock, securities, partnerships, and real estate.
Ed worked on the federal and international tax aspects of the restructuring of both Dana Corporation and Chrysler LLC in chapter 11. Ed played a leading role in structuring Pfizer's $16.6 billion sale of its consumer health care business to Johnson & Johnson. He led the tax team that structured the $2.8 billion acquisition of the ConAgra commodities trading business by a consortium of private equity funds in 2008. Ed recently helped structure Pfizer's joint venture with GlaxoSmithKline to create a new HIV company.
In addition to Dana, Chrysler, and Pfizer, representative clients include Bank of America, Celgene, FactSet Research Systems, Gavilon Group, Goode Partners, Ospraie Funds, Lagardère, Sherwin-Williams, Patrón Spirits, Proliance, and WL Ross & Co.
Ed is member of the New York State Bar Association Tax Section. He has lectured at conferences on numerous topics involving federal and international taxation. Recently, he lectured on the tax effects of debt modifications and exchanges in distressed situations and cancellation of debt income issues.
