Elizabeth Roberts, a partner in Goodwin Procter’s Financial Institutions Group and a member of its Private Investment Funds Practice, represents a wide range of clients in forming private investment funds, partnerships, joint ventures and other transaction structures, and advises investors in such structures. Her practice involves work across a variety of funds, including those focusing on private equity, venture capital, mezzanine, emerging markets, real estate, infrastructure, and small business investment companies (SBICs). She has particular expertise in impact investing. She advises on fund formation, maintenance and governance matters, including matters relating to the Investment Company Act, the Investment Advisers Act, the Alternative Investment Fund Managers Directive (AIFMD), and also counsels institutional investors that invest in such funds.

In addition, Ms. Roberts advises public and private clients regarding corporate and commercial transactions, including capital-raising investments, mergers and acquisitions, private placements, commercial and employment contracts, shareholder agreements and various other general corporate matters.
