Howard S. Jacobs concentrates his practice in corporate and securities law, with an emphasis on capital formation and strategic growth transactions. He represents issuers and underwriters of debt and equity securities in both public offerings and private financings. In addition, he assists in the formation of, and provides ongoing transactional representation to, leveraged buyout and growth equity funds.

Howard’s clients are in a variety of industries, including financial lending, advertising, textiles and health care. Howard has supervised and counseled both public and private companies in all aspects of their business, including strategic investments, mergers, acquisitions and dispositions, shareholder and operating agreements, disputes between company owners or partners, Sarbanes-Oxley Act requirements, business transactions, strategic planning and other corporate governance issues, and general corporate and securities matters. He also has performed legal services for owners of family companies in connection with the restructuring or sale of their companies.

Before entering private practice, Howard was an attorney with the Securities and Exchange Commission’s Division of Trading and Markets.
