Jeff Malonson is a partner in King & Spalding’s corporate practice group based in the firm’s Houston office. Mr. Malonson focuses his practice on capital markets, mergers and acquisitions, and governance matters. His capital markets practice includes representing public and private corporations, master limited partnerships (MLPs), investment banking firms, and private equity firms in initial public offerings (IPOs), and other public offerings and private placements of equity and debt securities. He also advises corporations and partnerships concerning merger and acquisition transactions, and private equity firms with strategic investments and divestitures in public and private companies and partnerships. In addition to his transactional practice, he advises public company clients regarding compliance with periodic reporting, proxy solicitation and corporate governance matters.

Mr. Malonson’s core practice focuses on the energy industry, including oil and gas exploration (exploitation) and production, midstream, transportation, oilfield service, oilfield equipment manufacturing, liquefied natural gas (LNG), and chemical and refining companies. Mr. Malonson regularly represents clients in connection with the organization, formation and governance of MLPs. He has considerable experience drafting and negotiating a variety of governance agreements and constituent documents, including limited partnership agreements, limited liability company agreements, shareholders agreements, joint ventures agreements, and joint operating agreements.

While his core practice focuses on the energy sector, Mr. Malonson also has significant experience advising clients in other sectors, including waste management, software, information technology, and financial services.
