Jennifer F. Fitchen

JENNIFER F. FITCHEN (formerly DiNucci) is a partner in the firm’s Palo Alto office and practices in the M&A group. Her practice focuses primarily on merger and acquisition transactions, including acquisitions of public and private companies, contested transactions, hostile takeovers and defense, and investment banker representation. She is the current Chair of the Acquisitions of Public Companies Subcommittee of the ABA’s M&A Committee.

Ms. Fitchen has been ranked in Chambers USA: America's Leading Lawyers for Business since 2011. She has twice been named to The Recorder's list of “Women Leaders in Technology Law” and recognized multiple times by Super Lawyers and The Legal 500 as a leading M&A practitioner in Northern California. She was also recognized by The Daily Journal as one of the Top 100 leading lawyers in California. In 2015, a Q&A with Ms. Fitchen was featured in the Huffington Post Business section.

Ms. Fitchen’s experience includes over 100 announced transactions with an aggregate value in excess of $50 billion. Representative matters include:

Sale of Dionex Corporation to Thermo Fisher Scientific in a two-step cash tender offer valued at approximately $2.1 billion
Sale of OPNET Technologies to Riverbed Technology in a cash and stock two-step exchange offer valued at approximately $1 billion
PayPal, Inc’s pending acquisition of Xoom Corporation in a cash merger valued at approximately $890 million
Jazz Pharmaceuticals' acquisition of EUSA Pharma in a transaction valued at up to $730 million
Combination of Jazz Pharmaceuticals and Azur Pharma in an all-stock “inversion” transaction valued at approximately $500 million

Ms. Fitchen earned her J.D., cum laude, from the Georgetown University Law Center and graduated with a B.A. in Business-Economics from the University of California, Los Angeles, magna cum laude, with college honors distinction and was elected to membership in Phi Beta Kappa.
