Karl focuses his practice on derivatives, securities, corporate governance, and mergers and acquisitions matters. He has extensive experience advising clients on the negotiation and documentation of commodity, foreign exchange, interest rate and equity derivatives, including using the industry standard ISDA Master Agreements and related Credit Support Annex. Karl also advises end users of derivatives regarding all aspects of their compliance with the Commodity Exchange Act and Commodity Futures Trading Commission regulations adopted under the Dodd-Frank Act. Representative derivatives clients have included companies with extensive hedging activities and companies in a wide variety of industries, including: energy production/generation, transmission and distribution, manufacturing, consumer and industrial products, agriculture production and financial services.

Karl has extensive experience advising public companies on a wide range of securities issues, including periodic reporting obligations, insider trading, proxy solicitations, and registered public offerings of securities. He also advises public and private company clients on corporate governance matters under state and federal law and applicable stock exchange rules. He represents clients in a variety of capital raising transactions and bank credit facilities.

His mergers and acquisitions clients include both private and publicly traded companies. Representative transactions include private and public company acquisitions and public company tender offers. Karl also has advised clients on securities and corporate governance matters related to public company spin-offs.
