Karol Lyn Newman is an energy lawyer with many years of experience with primary responsibility for the counseling and representation of several large energy companies. These responsibilities include: advising on corporate restructuring alternatives, acquisitions and partnering arrangements, and contract realignments; litigation and regulatory strategies at the federal and state levels; representation in regulatory enforcement proceedings; mediation and negotiation of contract and regulatory disputes. Well-versed in federal jurisdictional issues, Ms. Newman is frequently consulted to advise on the proper structuring of corporate transactions to facilitate their implementation and, where necessary, their approval at the federal and state levels. Ms. Newman has successfully litigated numerous cases before the Federal Energy Regulatory Commission and in the United States Courts of Appeals, having obtained reversals of agency action in cases having national implications for the industry, including two cases which were brought to the United States Supreme Court. Ms. Newman has also successfully negotiated settlements ranging from simple contract disputes to complex regulatory and commercial disputes and has actively participated in ADR proceedings in matters subject to the jurisdiction of the Federal Energy Regulatory Commission.
Ms. Newman's representation of clients in the energy industry is broad-based and includes both regulated and unregulated entities. Some of the more significant issues that have been the focus of Ms. Newman's practice over the years have involved federal jurisdiction, preemption, eminent domain, regulatory takings, the constitutionality of federal legislation, affiliated transactions, misuse of the administrative process, ratemaking, capacity allocations and capacity transfers, permitting of federally-regulated facilities, contracting, divestitures, acquisitions, and environmental concerns. Ms. Newman has served as lead counsel for her clients in numerous appeals from agency action brought in the United States Courts of Appeals as well as in cases brought to the United States Supreme Court.
Ms. Newman is admitted to practice in Maryland and the District of Columbia. She is also admitted to practice before the following federal courts: United States Supreme Court; United States Courts of Appeals for the Third, Fourth, Fifth, Tenth, Eleventh and District of Columbia Circuits; and the United States District Court for the District of Columbia. Ms. Newman is an honors graduate of both the University of Maryland (B.A.) and the University of Maryland School of Law (J.D. 1973), where she served as Articles Editor of the Maryland Law Review and was elected to the Order of the Coif. She is also a member of the American Bar Association, the District of Columbia Bar Association, the Maryland Bar Association, and the Federal Energy Bar Association. Ms. Newman has also been recognized as a leading natural gas lawyer, having been honored at the Americas Women in Business Law Awards in 2012 as "Best in Energy, Natural Resources, and Mining" and having been recognized as a leading energy lawyer in Best Lawyers in America (2006-2015).
