Marc A. Liverant is a partner in Morgan Lewis's Real Estate Practice. Our real estate attorneys represent a variety of real estate owners and stakeholders, including: national and international companies, real estate investment trusts (REITs), institutional lenders, private equity funds, and pension funds and advisers in connection with their ownership, use, and financing of real estate.
Mr. Liverant has experience in negotiation and documentation of real property purchase and sale agreements; industrial, retail, and commercial leases (including ground leases and master leases); easements; option agreements; joint venture agreements; and management agreements and construction documents. He also has experience with complex conduit and portfolio mortgage loans secured by industrial, office, retail, multifamily, and mixed-use properties.
Mr. Liverant's representative transactions include:
Representation of a healthcare provider in negotiating a 10-year, 30,000 square foot lease for a property in Long Beach, California which will be converted into a medical office building. The transaction also included the negotiation of a construction contract for the planned $5 million of leasehold improvements.
Representation of a real estate investment manager in its acquisition, structuring, and financing of a 45-property, five-state transaction valued at $195 million.
Representation of a global investment firm in its acquisition and related project financing of a wind energy generation project in the western United States.
Represented pension fund manager in its $195 million acquisition of a 50% interest in a joint venture that owns a 1 million square foot shopping and entertainment complex, which was one of the largest single-property real estate transactions in the U.S. in 2012.
Represented developer in its sale of a retail property in Beverly Hills in 2012, where the purchase price was the highest on a per square-foot basis in the history of Los Angeles County.
Represented Southern California health system in its $68 million acquisition of a 330,000 s.f. office complex to serve as its corporate headquarters and several related real estate transactions.
Represented developer in its $26 million acquisition of a 20-acre development site in San Diego County and related $57 million construction financing, which property is being developed as a 400+ unit community with townhomes, tri-plexes and apartments.
Represented lender in $61 million financing secured by a historic hotel/commercial property in Philadelphia, Pennsylvania.
Represented private equity real estate investor in its $188 million acquisition of 40 properties in 5 states, together with related $128 million acquisition financing.
Mr. Liverant received his J.D., cum laude, from Temple University School of Law in 1999, his M.B.A. in legal studies from Temple University in 1999 and his B.S., high distinction, in accounting and international business from Pennsylvania State University in 1996.
