Marianne C.C. Sarrazin

Marianne Sarrazin is a special counsel in the firm's Business department. She joined Cooley in 2015 and is resident in the San Francisco office.

Ms. Sarrazin has substantial experience representing both domestic and foreign issuers in a wide variety of corporate transactions, including capital markets, reverse mergers and spin-offs. Ms. Sarrazin regularly advises U.S. and foreign private issuers on U.S. public offerings and private placements of debt and equity securities (IPOs, secondary offerings, shelf registration statements, PIPEs, ELOCs, and Rule 144A and/or Regulation S private placements), as well as with respect to compliance with ongoing reporting obligations (Forms 10-K, 10-Q, 8-K, 20-F and 6-K), NYSE and NASDAQ listing requirements (director independence and corporate governance requirements), Sarbanes-Oxley Act of 2002, and annual (or special) shareholder meeting-related matters (proxy statements, bylaw provisions and review of board committee charters). She also regularly advises underwriters and placement agents in capital markets transactions, and also assists shareholders and insiders with beneficial ownership reporting (Forms 13D/13G) and Section 16 (Forms 3, 4 and 5), as well as Rule 144 resales. Ms. Sarrazin's experience spans a number of industries including pharmaceutical, chemical, biotechnology, medical device, geothermal drilling, software development, digital music, electronic medical records (EMRs) and personal health records (PHRs), payment card systems and other financial services.
