Mike Egan
is a partner in the Corporate Practice Group of King & Spalding and is Co-Head of the firm’s Mergers and Acquisitions Practice. His primary practice areas include mergers and acquisitions, joint ventures and strategic alliances and corporate governance. Mr. Egan frequently represents leading companies (including General Electric Company, Sprint Corporation, HD Supply, Huntington Ingalls and EarthLink) in a broad variety of mergers and acquisitions and joint venture transactions. Mr. Egan has substantial experience in cross-border transactions and represents several non-US companies in their U.S. investment activities. He also serves as counsel for the Atlanta Falcons NFL franchise, including as lead counsel in negotiations for a new stadium.
Mr. Egan is regularly identified as one of the nation’s leading corporate lawyers. These recognitions include Tier 1 ratings since 2005 in Chambers USA, listing in International Who’s Who in M&A and International Who’s Who in Corporate Governance, and inclusion in Lawdragon’s 2013 listing of the 500 Leading Lawyers in America.
As part of his focus on Corporate Governance, Mr. Egan has been instrumental in the firm’s creation, together with Tapestry Networks, of the Lead Director Network, a group of lead directors, presiding directors and non-executive chairmen from many of America’s leading companies that meets to discuss how to improve the performance of their corporations and earn the trust of their shareholders through more effective board leadership.
Mr. Egan spent two years in Duesseldorf, Germany and London, England on secondment to The Coca-Cola Company. During this period, Mr. Egan served as European Transactions Counsel to The Coca-Cola Company, acting on its behalf in transactions in Germany, Belgium, The Netherlands, Italy, Portugal and Greece.
Mr. Egan has served in numerous leadership positions at the firm, including as a member of the Policy Committee and the Compensation Committee, as Chair of the Corporate Practice Group and as Chair of the Hiring Committee. Mr. Egan currently serves as Chair of the Board of Trustees of The Westminster Schools in Atlanta and as a member of the Honors College Board at the University of North Carolina-Chapel Hill.
Mr. Egan received his J.D., cum laude, from Harvard Law School in 1982 and clerked for former Chief Judge Elbert P. Tuttle on the U.S. Court of Appeals, Eleventh Circuit. He was a Phi Beta Kappa graduate and Morehead Scholar at the University of North Carolina-Chapel Hill.
