Mike Torosian acts as general outside counsel to private and public companies across all phases of their life cycle particularly in the technology, renewable energy and life sciences industries.

Mike Torosian represents emerging companies and investors in financings at all stages, from seed funding through venture financings, growth equity and late-stage rounds, private equity as well as reorganizations and recapitalizations. Mike also represents issuers and investment banks in IPOs, follow-on and secondary offerings as well as convertible debt offerings under Rule 144A. He represents buyers and sellers in private and public merger and acquisition transactions.

In addition to advising businesses throughout their development, Mike counsels public company clients on day-to-day corporate legal needs, including board matters, corporate governance, reporting obligations, employment issues, compensation and benefits, and SEC, FINRA and exchange matters. His clients also benefit from his experience working with managers and boards of private and public companies as a CPA at a Big Four firm.
