Neil T. Wolk

Neil Wolk,

a New York public finance partner, is a member of the firm’s Public Finance Department. He has extensive experience in the area of municipal and corporate finance with particular expertise in financing transactions for public power entities and rural electric cooperatives.

He also has substantial experience in the use of derivative products in financings (including interest-rate swaps and caps, forward delivery arrangements, options, float contracts, securities involving embedded caps and supplemental coupons, and tender-option securities), floating rate securities (including commercial paper-mode securities and floating/inverse floating rate securities), and short-term tax-exempt and taxable debt (including commercial paper programs). Mr. Wolk has acted as bond counsel, underwriters counsel, and counsel to credit enhancers.

Recently, Mr. Wolk has been involved in a number of restructuring transactions for electric utility clients as those clients prepare for the deregulation of the electric utility industry. Those transactions have included the development and implementation of strategic alliances among electric utilities; restructuring and refinancing of outstanding debt; restructuring and amendment of debt instruments to position utilities better for a deregulated environment (including amendments requiring bondholder consent solicitations); and development and implementation of various plans and mechanisms to reduce utilities’ “stranded costs” and “stranded investments” (including plans and mechanisms for the retirement of debt in advance of scheduled due dates).

Mr. Wolk also has been involved in a number of transactions involving the acquisition of utility companies and/or utility properties
