Nicole M. Runyan

Nicole M. Runyan is a partner and a member of the Investment Management team. Nicole’s wide-ranging practice covers both fund and independent board member representations and also includes significant adviser representations. She regularly advises clients on statutory and regulatory matters encompassing fund formation and operation under the Investment Company Act of 1940, the Securities Act of 1933, the Investment Advisers Act of 1940 and other applicable federal securities laws, including the Commodity Exchange Act.

Nicole counsels clients across a broad spectrum of transactional and regulatory matters, including compliance and enforcement matters and obtaining exemptive relief from the SEC. Nicole works closely with clients on new and alternative product development, fund marketing and distribution arrangements, development and review of compliance programs, and internal and third-party fund mergers, liquidations and other restructurings. In particular, Nicole regularly counsels clients with respect to regulatory issues arising from various alternative investment strategies, including commodity investing, managed futures and other liquid alternative strategies.

Nicole also advises U.S. and non-U.S. asset managers on forming and operating U.S. advisory businesses, including with respect to SEC registration (or exemptions therefrom), compliance and reporting.
