Peter W. Carter

Peter Carter is a business litigator who specializes in the area of securities litigation and other legal disputes involving public companies and financial institutions. He serves as the co-Chair of the Securities Litigation & Enforcement practice group and is a Fellow of the American College of Trial Lawyers. His substantial trial experience includes: obtaining a defense verdict on behalf of a large bank following an eight week jury trial; successfully representing a public company in a dissenters' rights action against an activist public pension plan; and obtaining a finding of no additional tax liability in a significant U.S. Tax Court case involving the valuation of a large, well-known private company.

For the past four years he has been recognized as one of the Best Lawyers in America for Bet the Company and Commercial Litigation and in 2012 was recognized as Lawyer of the Year.

Peter's clients also regularly prevail in cases before trial through summary judgment or dismissal orders. He has successfully defended many public companies and their officers and directors in securities class actions and in breach of fiduciary duty lawsuits challenging mergers and acquisitions and other corporate actions. He has successfully defended many cases challenging mergers across the country including in Delaware Chancery Court.

Peter also represents companies and individuals before the SEC and has advised audit committees and conducted independent investigations for those committees on issues relating to ethics complaints, restatements, stock options issues, FCPA and other Sarbanes-Oxley matters. He has avoided enforcement actions in several instances after clients had received Wells Notices.

Peter chaired the Minneapolis trial department for eight years and is currently a member of the firm’s Policy Committee.
