Rachel C. Goddard

Rachel C. Goddard is an associate in the Cooley Business department. She joined the Firm in 1999 and is resident in the Reston office.

Ms. Goddard's practice consists of general business, corporate, partnership and securities law matters, with a focus on venture capital financing, the formation of private equity funds and the formation and representation of private technology and emerging growth clients in general corporate matters, debt and equity offerings and mergers and acquisitions. Ms. Goddard has represented a number of leading venture capital and private equity firms in preferred stock financings, as well as institutional lenders in acquisition financing and mezzanine debt transactions. She has also formed and represented venture capital funds and other private equity partnerships, including fund of funds and small business investment companies.

Ms. Goddard received a law degree from the College of William and Mary in 1999, where she was elected to the Order of the Coif. In 1996, Ms. Goddard received a BA in History and Environmental Science, cum laude, from the University of Notre Dame, where she was a member of Phi Kappa Theta.

Ms. Goddard is admitted to practice before the U.S. Court of Appeals for the Fourth Circuit, the U.S. District Courts for the Northern and Southern Districts of Indiana and is a member of the Virginia State Bar Association, the Indiana State Bar Association and the American Bar Association.
