Rebecca G. DiStefano

Rebecca G. DiStefano concentrates her practice in the areas of securities regulation, corporate finance, corporate governance, private equity and venture capital, and mergers and acquisitions law. Rebecca counsels public and private companies in areas including angel financing, debt and equity financing, registration of securities under the Securities Act of 1933, registration under the Investment Advisers Act of 1940, continuing disclosure requirements of the Securities Exchange Act of 1934, initial and continued listing of securities on the stock exchanges and electronic quotation systems and the creation and organization of non-U.S. regulated investment vehicles including private equity funds and hybrid funds. Rebecca regularly represents clients before government agencies and SROs including the Securities and Exchange Commission and FINRA.

Recently, Rebecca has served as outside general counsel for privately-held firms and provided counseling to executive officers and directors with an emphasis on fiduciary duties under state law. Rebecca has broad experience advising clients in preparing for meetings of boards of directors, audit committees, compensation committees and shareholders. She has worked extensively with chief executive and financial officers throughout her career with the goal of achieving legally compliant and consistent disclosure through press releases, marketing disclosure and public filings with the SEC. Rebecca regularly drafts and reviews complex agreements for individuals and business entities investing in a new business relationship, including operating agreements, joint ventures and profit participation agreements. Additionally, she enjoys advising entrepreneurs as to structuring and early-stage financing matters across a variety of industries, including alternative energy, IT, film entertainment, real estate brokerage and restaurants.
