Prior to becoming a lawyer, Robert E. Adel received an undergraduate degree in finance and worked as a financial manager for a Fortune 50 company and as the owner of his own company, giving him a practical understanding of financial and business issues in litigation. Drawing on this background, Rob focuses his practice on disputes involving finance and accounting, securities and corporate governance issues. Rob has experience with disputes involving mergers and acquisitions, director and officer fiduciary duties, shareholder and partnership control, securities transactions, indemnity and consumer class actions.
Rob represents buyers, sellers, brokers and investment bankers in disputes regarding business acquisitions. These disputes often include up to three components: litigation of contractual issues such as breaches of representations and warranties, accounting-based working capital adjustment arbitrations, and earn-out disputes. Rob has represented clients ranging from publicly traded companies and some of the nation's largest private equity companies to smaller, privately held businesses in these disputes.
Rob represents directors and officers accused of breaching their fiduciary duties. These disputes often arise in the context of a large securities transaction or a change of control transaction. He also handles shareholder derivative actions and other securities disputes, such as disputes in which the legality or effect of a securities transaction is at issue. He has represented investors, venture capitalists, private equity companies, public entities and issuers in disputes involving majority control, minority rights, interested transactions, preferred shareholder rights and preferences and has litigated securities fraud and broker dealer lawsuits and arbitrations.
Rob defends companies accused of violating California’s Unfair Competition Laws or the Consumer Legal Remedies Act or similar statutes from other jurisdictions as well as other consumer class action cases. These cases are often brought as "bet the company" class actions, and many of Rob’s cases are class action cases.
Finally, Rob litigates disputes surrounding the ownership, purchase and sale of real property and related disputes involving real property partnerships or LLCs. Rob also litigates construction defect disputes.
Rob practices in federal and state courts across the country and has experience in federal and state appellate courts.
