Robert G. Marshall II

Rob Marshall advises public and private companies on executive compensation and equity plan issues. He regularly counsels clients on securities compliance and disclosure, tax, corporate, governance, and stock exchange issues applicable to executive compensation and equity programs. Rob also assists with the design and implementation of stock- and cash-based plans, including equity, phantom, and cash bonus plans, as well as variety of other arrangements. In addition, he has extensive experience regarding international executive compensation arrangements, equity plans, and HR and employment/severance matters and has implemented these programs in more than 100 countries.

Rob is a member of the State Bar of California and the National Association of Stock Plan Professionals. He is recommended in The Legal 500 US for employee benefits and executive compensation and has been named one of the Bay Area's "best lawyers" by Bay Area Lawyer Magazine. In addition, he has served as a guest speaker at executive and equity compensation conferences.
