Robert W. Phillips

Robert Phillips is a partner in the Cooley Business department and a member of the Capital Markets and Public Companies practice groups. He joined the Firm in 2014 and is resident in the San Francisco office.

Mr. Phillips' practice is focused on the representation of issuers and underwriters in capital markets offerings, including initial public offerings, convertible debt and high yield debt offerings. He also has extensive experience advising public and private companies on general corporate issues, including securities laws compliance, corporate governance, mergers and acquisitions, and private financings, debt exchanges and restructurings. Mr. Phillips works in a range of industries including technology, life sciences, aviation, software, semiconductor and retail.

Advanced Micro Devices, in numerous equity, high yield and convertible debt financings and the formation of a joint venture with Fujitsu Limited to create Spansion
Avago, in its initial public offering and follow-on offerings
Avalanche Biotechnologies, in its initial public offering
Barclays Capital as underwriter in initial public and follow on offerings
BMO Capital as underwriter in an initial public offering
Conceptus, in convertible debt offerings and exchanges, public company representation and its sale to Bayer Healthcare
Credit Suisse as underwriter in follow-on public offerings
Deutsche Bank Securities as underwriter in initial public offering
Ellie Mae, in its initial public offering, follow-on offering, strategic acquisitions and public company representation
InterMune, in convertible debt offerings and debt exchanges
KKR, as selling stockholder, in multiple follow-on offerings of Jazz Pharmaceuticals
Mentor Graphics, in several convertible debt offerings and the acquisition of numerous companies
Neos GeoSolutions in multiple rounds of equity and debt financings and recapitalizations, and general company representation

Prior to joining Cooley, Mr. Phillips was a partner in the Silicon Valley and San Francisco offices of Latham & Watkins LLP, where he began his legal career in 1999.

Mr. Phillips received his J.D. from Georgetown University Law Center and his B.S.F.S. from Georgetown University's School of Foreign Service. He is admitted to practice in California.
