Romica Singh

Romica Singh is an attorney in Cravath’s Executive Compensation and Benefits Department. Her practice focuses on executive compensation and employee benefit matters arising in the context of mergers, acquisitions, spin‑offs, initial public offerings, restructurings and other corporate transactions. She has worked on a number of notable cross‑border and domestic transactions in the financial, energy, media and manufacturing sectors.

Ms. Singh regularly counsels public and private companies on the design and legal analysis of compensation and benefit arrangements, including equity and non‑equity incentive programs. She assists companies in navigating tax laws unique to executive compensation (including laws governing deferred compensation, golden parachute arrangements and deduction limitations). She is also experienced in the drafting and negotiation of executive employment, retention, change‑in‑control, noncompetition and separation agreements. In addition, Ms. Singh advises clients on executive compensation disclosure, regulatory compliance and corporate governance matters.

Ms. Singh was born in Ann Arbor, Michigan. She received a B.A. with honors from the University of Michigan in 2001 and a J.D. from Vanderbilt University Law School in 2005. Prior to joining Cravath, Ms. Singh was associated with law firms in New York.
