Rosemary practices in the area of Life Sciences Transactions, and is a member of both the firm's Corporate & Securities Group and its Life Sciences Health Industry Group. She has 14+ years experience in licensing and intellectual property matters and securities matters including venture financings, private placements, PIPEs and public offerings of securities. Rosemary specializes in complex commercial transactions for pharmaceutical, biotech and technology companies including sophisticated product licensing and development arrangements, marketing, promotion and manufacturing agreements, strategic alliances, joint ventures and software design, development and licensing agreements including licensing of software embedded in medical devices and business solutions software.

Rosemary also provides legal counsel with respect to clinical trial agreements and ancillary forms/documents such as informed consents, confidentiality agreements and HIPAA authorizations as well as cooperative research agreements with government and non-profit foundation funding sources. In addition, Rosemary has expertise in structuring distribution and franchising arrangements including drafting and reviewing Federal Disclosure Documents as well as franchise and related agreements and registration of franchised businesses in compliance with federal and state requirements.
