Ryan Thomas advises clients on all aspects of competition law, including mergers, civil nonmerger government investigations, cartel investigations, and pricing and distribution issues. He has represented clients in a variety of industries, including consumer goods, PC hardware, medical devices, pharmaceuticals, newspapers, specialty metals, industrial chemicals, and building products.
Ryan represents buyers and sellers concerning premerger planning and analysis, merger control filings, "quick look" and extended government investigations, and post-closing investigations. Representative merger work includes counseling Hertz in its acquisition of Dollar Thrifty, SABMiller in its joint venture with Molson Coors, XM in its merger with Sirius, Latrobe Specialty Metals in its proposed acquisition by Carpenter Technology, Celgene in its acquisition of Gloucester Pharmaceuticals, and Abbott in its acquisition of Visiogen.
Ryan also counsels clients in cartel matters concerning: internal investigations, grand jury subpoenas, obtaining leniency, negotiating plea agreements, and convincing the government not to bring charges. Representative cartel work includes defending Bayer in multiple investigations by U.S. and foreign competition authorities involving rubber chemicals, urethanes, and related products.
Ryan is an active member of the American Bar Association Section of Antitrust Law. He writes regularly on antitrust, for example, as contributing author for the PLI publication, The Antitrust Law Answer Book 2011-2012 and as a contributing editor for the ABA publication, Antitrust Compliance: Perspectives and Resources for Corporate Counselors (2010). In addition, he is a member of Jones Day's e-discovery committee and he regularly counsels clients on e-discovery issues.
