In his counsel to large multinational corporations, middle market businesses and emerging companies, Ryan J. Preston negotiates, structures, and drafts their commercial agreements, with an emphasis on agreements related to outsourcing, technology licensing, information technology services, manufacturing and distribution. He also represents public and private companies in a variety of matters involving domestic and cross-border mergers and acquisitions; private equity, private offerings, public company representation and SEC reporting and compliance.

Representative of Ryan’s counsel is his work structuring and negotiating, on behalf of a multinational communications technology services leader, managed network services agreements with several major telecom providers, which included agreements covering his client’s assumed responsibility for the day-to­ day services, provisioning and maintenance of the providers' networks.

Ryan has represented leading universities, manufacturers and mobile payment joint ventures, among others, in a range of licensing, sales and service agreements and critical technology and service provider negotiations. In addition, Ryan has guided buyers and sellers in mergers and acquisitions involving technology providers, fund sponsors and healthcare and energy companies in transactions worldwide.
