Samuel P. Kastner is a partner in Holland & Knight's Business Law Section in the firm's Washington, D.C., office. He has more than 30 years experience in corporate, finance, securities, tax and business law, with an emphasis on providing business and tax planning advice to corporations, partnerships, limited liability companies and individual clients.
In recent years, the majority of Mr. Kastner's practice has been representing clients in connection with the planning, negotiating and preparing of documents related to the formation, merger, acquisition, sale and divestiture or dissolution of business entities; limited liability company operating agreements for real estate transactions; venture capital transactions; business succession and estate planning matters; shareholder agreements, executive compensation arrangements, employment agreements, consulting contracts, license and development agreements, loan agreements and other commercial contracts. In addition, he has experience in various securities law transactions, including private placement memoranda, registration statements for initial and secondary public offerings of securities under the Securities Act of 1933 and periodic company and shareholder filings under the Securities Exchange Act of 1934.
