Sanjay Shirodkar's practice includes counseling corporations on a broad range of disclosure, corporate governance, fiduciary duty, stockholder and analyst relations, executive compensation, general corporate and regulatory issues.

Sanjay counsels clients on all aspects of the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010 and the Sarbanes-Oxley Act of 2002. He has extensive experience drafting and reviewing periodic reports filed pursuant to the Securities Exchange Act of 1934, as amended. His sophisticated securities and corporate practice includes representing companies and underwriters in public and private equity offerings, tender offers, and mergers and acquisitions with multi-billion dollar experience in a broad range of domestic and private financings, mergers and acquisitions.

Sanjay represents companies in stockholder activism. He negotiates and drafts acquisition agreements and commercial contracts and has assisted in several investigations of a global communications company by the SEC and state regulators. He interprets and advises clients on complying with the rules and regulations of the SEC, the NYSE and the NASDAQ. Also, he advised SEC staff, including the Division of Enforcement, on possible civil violations of the federal securities laws in SEC filings.
