Scott Graziano is a counsel in O’Melveny’s Newport Beach and New York offices and a member of the Capital Markets Practice. He represents public and private clients in the United States and internationally in a variety of industries, including financial services and banking, medical device, pharmaceutical, home products, real estate and fish and game. Scott provides ongoing counseling regarding corporate governance, SEC disclosure and reporting compliance, and contract negotiation, with a focus on corporate securities transactions, including primary and secondary equity, convertible notes, investment grade and high yield debt, and hybrid securities offerings. Transaction structure experience includes registered, registered direct, 144A/Regulation S and concurrent registered and private placement. He has represented investment banks in dozens of capital markets transactions.
