Sean A. Monroe

Sean A. Monroe is a partner in O'Melveny's Century City office and a member of the Mergers and Acquisitions Practice. Sean has a broad experience in a range of M&A, private equity, and corporate finance transactions, including fund formation and investments, portfolio company acquisitions and divestitures, and complex public and private company mergers and acquisitions. Sean has extensive involvement with federal and state securities laws and regulations, state corporate laws, and general corporate matters and corporate governance, with related exposure to tax, intellectual property, employee benefits, ERISA, environmental and bankruptcy practice areas.

Sean also assists the Entertainment, Sports and Media Practice in corporate, securities, and other aspects of entertainment transactions, including motion picture financings, acquisition due diligence and evaluation, and distribution arrangements.

Represented a major motion picture studio in the formation and its acquisition of a controlling interest in a home video distribution joint venture with a publicly-traded entertainment company
Represented the private equity group of a major international investment bank in structuring and closing a US$7.5 billion private equity fund
Advised a global design and engineering firm in its investment in a private equity fund management company
Representing producers, hedge funds, investment banks, and private investors in structuring, negotiating, and documenting motion picture financing vehicles
Represented the general partners in going-private transactions involving two previously publicly-traded California limited partnerships
Represented a publicly-traded consumer goods company in its acquisition and divestiture of manufacturing operations in Latin America
Represented the seller and his affiliated companies in the sale of an NFL football franchise
Advised a global pharmaceutical company in its $600 million acquisition of a publicly-traded genetic research company
Represented the underwriters in several initial and secondary restaurant company public offerings
