Sean M. Clayton is a partner in the Cooley Business department and is a member of the Firm's Public Companies and Capital Markets practice groups. He joined the Firm in 2004 and is a resident in the San Diego office.

Mr. Clayton's practice focuses on the representation of public and private emerging growth companies in general corporate matters, as well as a wide range of transactions, including public offerings, venture capital financings and mergers and acquisitions.

He routinely advises public companies with respect to securities laws and SEC reporting obligations, disclosure issues and corporate governance matters. Representative past and current public company clients include: ACADIA Pharmaceuticals, Amylin Pharmaceuticals, Arena Pharmaceuticals, Flexion Therapeutics, Horizon Pharma, Insys Therapeutics, MannKind Corporation, Mirati Therapeutics, Optimer Pharmaceuticals and Vical Incorporated.
