Sean Sullivan

Sean Sullivan is an associate in the San Francisco office of Gibson, Dunn & Crutcher. Drawing upon time spent as an attorney at the firm and as an investment banker in the Technology, Media and Telecom Group at Credit Suisse, Mr. Sullivan’s work focuses on capital markets transactions, merger and acquisitions and securities regulation.

Mr. Sullivan was named a Rising Star of Northern California Securities and Corporate Finance lawyers by Super Lawyers magazine in both 2013 and 2014, a designation given to less than 2.5% of attorneys practicing in that subject matter. He served as primary drafter of a chapter on IPOs in the PLI book Fashion Law and Business: Brands & Retailers and writes regularly on topics relating to recent developments in capital markets transactions and securities regulation.

Mr. Sullivan serves as lead associate in transactions representing issuers and underwriters in connection with numerous registered and privately placed equity and debt offerings across a variety of sectors, including retail/food, technology and life sciences. He served as lead associate representing Ancestry.com, Restoration Hardware and Noodles & Company in their initial public offerings, and was lead associate representing the underwriters in connection with the initial public offerings of Aerie Pharmaceuticals, CareDx, Financial Engines, RPX, Marin Software, Singulex and others. Mr. Sullivan has also represented issuers such as Accuray, Amazon.com, Bi-Lo Supermarkets, Cadence, Intel, MetroPCS, Wells Fargo and Xilinx in debt and convertible debt offerings. He also advises companies contemplating warrant, call option, share repurchase and similar derivative transactions, including AOL, Bally, Herbalife and Intel.

In the mergers and acquisitions context, Mr. Sullivan works with clients in connection with the strategic acquisition of private and public companies in the technology, retail and life science industries. He has served as lead associate in transactions representing a variety of companies, including Actian, Ancestry.com, Cadence, CytoSport (the maker of MuscleMilk), Duckhorn Wine Company, G.I. Partners, Intel, St. Jude Medical, ValueClick and Viewfinder (an online application company) and represents investment banks in connection with the delivery of fairness opinions.

Mr. Sullivan serves as counsel to corporations in a number of sectors to address the efficient management of general contractual, corporate governance and disclosure matters. He advises clients with respect to regulatory filings, discrete legal questions and corporate best practices in response to developments in the legal and business environments. He also advises clients with respect to derivate transactions and accelerated share repurchase agreements.

Mr. Sullivan graduated from Columbia Law School, where he was recognized as a James Kent Scholar and a Harlan Fiske Stone Scholar. He served as Articles Editor of the Columbia Journal of European Law. Mr. Sullivan received Bachelor of Arts degrees in Economics and Politics from Saint Mary’s College.
