Steven A. Domanowski

Steve Domanowski concentrates his practice in the areas of finance, restructuring, private equity, and mergers and acquisitions. He represents lenders and borrowers in a wide variety of financing transactions and buyers and sellers in private acquisitions, divestitures, and restructurings, including those in distressed and non-distressed settings. He advises private equity funds and their portfolio companies in connection with complex leveraged buyouts, related financings, and ongoing financing transactions and lenders and borrowers in asset-based secured loans, investment-grade company financings, private placements, and subordinated debt placements, many with multijurisdictional and multicurrency components. In addition, Steve frequently advises a variety of clients on intercreditor issues and transactions involving multiple debt tranches and multiple lien priorities.

Steve's practice also includes representing secured lenders, borrowers, strategic investors, private equity funds, debtors, creditors' committees, and other parties in chapter 11 bankruptcy proceedings in connection with corporate bankruptcy, restructuring, and other insolvency-related matters. He represents such parties in connection with distressed M&A, workouts, and restructurings of troubled credits, out-of-court restructurings, debt for equity transactions, and debtor-in-possession financings and exit financings. He has substantial experience with a variety of industries, including manufacturing, mining, agriculture, technology, automotive, logistics, and airlines, and has gained substantial exposure to many of the critical issues in restructuring regarding distressed M&A, debtor-in-possession financings, and exit financings.

Steve is a member of the American Bankruptcy Institute and the Turnaround Management Association. In addition, he has published numerous articles and participated in several seminars and presentations on commercial financing and restructuring related matters.
